Xploit Terms of Service & End-User License Agreement

By accessing, purchasing from, or using any website, software, digital product, or service operated by Xploit ("Xploit," "we," "us," or "our"), you agree to be legally bound by these Terms of Service and End-User License Agreement ("Agreement"). If you do not agree, do not access or use the Services.

This Agreement constitutes a legally binding contract between you and Xploit.

1. Eligibility and Account Responsibility

You represent and warrant that:

  • You are at least 18 years old or the age of majority in your jurisdiction.
  • You have the legal authority to enter into this Agreement.
  • All information you provide is accurate, complete, and current.
  • You are solely responsible for all activity conducted under your account.

Xploit may suspend or terminate accounts that provide false, incomplete, or misleading information.

2. Digital Products and License Grant

All products and services offered by Xploit are digital goods and/or digitally delivered services.

Upon successful payment, Xploit grants you a revocable, limited, non-exclusive, non-transferable license to access and use the software solely for personal, non-commercial use, subject to this Agreement.

No ownership is transferred. All intellectual property remains the exclusive property of Xploit.

3. Delivery

Digital products may be delivered instantly or within a reasonable time after purchase. Delivery is deemed complete once access credentials, license keys, or software access are provided or made available.

Failure to check spam folders, email filters, or account dashboards does not constitute non-delivery.

4. No Refunds – Final Sale

ALL SALES ARE FINAL.

Due to the nature of digital goods and immediate access to proprietary software, no refunds, returns, or exchanges are offered under any circumstances once delivery has occurred.

By completing a purchase, you expressly waive any statutory right of withdrawal or cooling-off period to the maximum extent permitted by law.

5. Chargebacks and Payment Disputes

Initiating a chargeback, payment dispute, or claim after receiving access constitutes a material breach of this Agreement.

In such cases, Xploit reserves the right to:

  • Immediately terminate all access and licenses
  • Permanently disable associated accounts
  • Contest the dispute using transaction logs, IP records, delivery confirmation, and acceptance evidence

Unauthorized payment activity or fraudulent disputes may result in further action as permitted by law.

6. Prohibited Conduct

You agree not to:

  • Share, resell, sublicense, or redistribute the software or access credentials
  • Reverse engineer, decompile, modify, or tamper with the software
  • Circumvent security or access controls
  • Use the software for unlawful purposes
  • Access services using automated systems or scripts

Violation of this section results in immediate license termination without notice.

7. Account Suspension and Termination

Xploit may suspend or terminate access at its sole discretion, including but not limited to cases involving:

  • Breach of this Agreement
  • Abuse or misconduct
  • Security concerns
  • Payment disputes
  • Extended inactivity

Termination does not entitle you to a refund.

8. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE."

Xploit disclaims all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

Xploit does not warrant uninterrupted operation, error-free performance, or compatibility with all systems.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

Xploit shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including loss of data, revenue, profits, or access.

Xploit's total cumulative liability for any claim shall not exceed the amount paid by you to Xploit in the preceding 30 days, or USD $50, whichever is lower.

10. Indemnification

You agree to indemnify and hold harmless Xploit from any claims, damages, losses, or expenses arising from:

  • Your use of the Services
  • Your violation of this Agreement
  • Your violation of any applicable law or third-party rights

11. Governing Law and Venue

This Agreement shall be governed by and construed in accordance with the laws of the State of [INSERT STATE], United States, without regard to conflict-of-law principles.

12. Binding Arbitration and Class Action Waiver

Any dispute arising out of or relating to this Agreement shall be resolved exclusively through binding arbitration, conducted on an individual basis.

You waive any right to participate in class actions, collective actions, or representative proceedings.

13. Modifications

Xploit may modify this Agreement at any time. Continued use of the Services after changes constitutes acceptance of the revised terms.

14. Severability

If any provision of this Agreement is found unenforceable, the remaining provisions shall remain in full force and effect.

15. Entire Agreement

This Agreement constitutes the entire understanding between you and Xploit and supersedes all prior agreements or representations.
